1. Legal Entity and Scope of Agreement
These Terms of Service constitute a formal and legally binding contract between you (referred to as the "Client", "Merchant", or "User") and Premionix Software Studio, founded and directed by Zhiar Muhammad, headquartered on Zilamo St, Qaladiza, As Sulaymaniyah 46016, Kurdistan Region, Iraq (referred to as "Premionix", "we", "our", or "us").
Premionix provides premier bespoke software engineering, web application development, cloud hosting orchestration, and ready to deploy enterprise applications. This includes specialized management software suites for Educational Institutions (Premionix School), Diagnostic Laboratories (Premionix Laboratory), Dental Clinics (Premionix Dental), Pharmacies (Premionix Pharmacy), Supermarkets and Retailers (Premionix Market), and Renewable Energy Enterprises (Premionix Solar).
By commissioning bespoke software, calculating project scope, placing an initial milestone deposit, or subscribing to any Premionix software application, you acknowledge that you have thoroughly read, understood, and agreed to be governed by these Terms in full.
2. Managed Software Deployment and Source Code Policy
Turnkey Managed Software License: All software developed or deployed by Premionix is provided under a fully managed operational license. Clients receive complete administrative control, data management capabilities, and unlimited operational access to their deployed application through web interfaces, desktop clients, or mobile progressive web apps.
Strict Source Code Protection: Clients do not receive access to, ownership of, or transfer rights to underlying raw source code repositories, framework architectures, server build scripts, automated deployment pipelines, or core internal libraries.
Legal and Technical Rationale: This closed source policy is strictly maintained to safeguard root domain security, protect wildcard SSL certificate integrity across all premionix.com subdomains, preserve multi tenant database isolation, and prevent unauthorized software tampering. Exposing raw server code on interconnected cloud infrastructure introduces severe security vulnerabilities, malicious script injection hazards, and intellectual property infringement risks.
3. Client Data, Brand, and Content Ownership
Unconditional Client Ownership: The client retains 100 percent exclusive, unconditional, and perpetual ownership over all business records, patient clinical histories, student transcripts, customer databases, inventory records, financial ledgers, uploaded multimedia, trademarks, and brand logos.
Zero Commercial Claim over Client Data: Premionix will never claim ownership over client business data, will never sell or monetize client records, and will never withhold data export upon lawful request.
Data Portability and Export Rights: Clients have the full right to export their complete operational database in industry standard formats (such as Excel spreadsheets, JSON files, or CSV records) through their administrative console at any time with zero lock in fees.
4. Subdomain Provisioning, Free Inclusion with SEO, and Custom Domains
Free Assigned Subdomain: A dedicated custom subdomain under the premionix.com root domain (such as yourbrand.premionix.com) along with automated SSL certificate provisioning and global edge CDN routing is included completely free of charge for clients who select SEO and OpenGraph optimization, cloud backend modules, or any standard blueprint plan ($0 domain purchase fee).
Subdomain Terms and Maintenance: All subdomains under premionix.com remain the exclusive property of Premionix Studios and are provided for client operational use subject to an annual cloud maintenance fee of $10.00 USD. Subdomains cannot be sold, sub licensed, or transferred to third party hosting providers.
Custom Domain Integration: Clients who own or purchase their own custom domain name (such as yourcompany.com) may connect it seamlessly to our infrastructure. Premionix configures DNS routing and SSL certificates while the application remains hosted on Premionix managed cloud servers.
5. Hourly Rates, Baseline Estimates, and 30% Milestone Deposit
Transparent Flat Rate: Custom software engineering is calculated at a fixed flat rate of $15.00 USD per verified production hour. Project hour and cost calculations generated via our online builder represent baseline architectural approximations. Final project hours and delivery timelines are confirmed during direct technical consultation based on your unique specifications, custom integrations, and project scale.
Portfolio Scopes and Community Grants: Portfolio case studies and review breakdowns displayed across the site illustrate equivalent module architectures and production estimates for client transparency. Select academic, student, and community initiatives were delivered pro bono, at discounted rates, or under community grants.
30% Milestone Deposit: An initial deposit of 30 percent of the estimated project total is required before engineering begins and staging infrastructure is provisioned. Because this deposit immediately allocates dedicated developer hours, it is strictly non refundable once active development or staging provisioning commences.
70% Milestone Settlement: The remaining 70 percent balance is due strictly upon the client reviewing, testing, and approving the application on our private staging preview environment. Production deployment and public launch occur immediately following final settlement.
Accepted Payment Methods: Payments are accepted in USD and IQD via First Iraqi Bank (FIB), FastPay, ZainCash, AsiaHawala, QiCard, Direct Bank Wire Transfer, Stripe (Visa / Mastercard), and Cash in Iraq.
6. AI Assisted Engineering Methodology and Pricing Compensation
AI Assisted vs Pure AI Coded (Vibe Coding): Premionix software projects are engineered utilizing advanced AI assisted development acceleration combined with rigorous human engineering governance. AI assisted development is fundamentally distinct from unguided "vibe coding" or raw unverified AI generated scripts. At Premionix, certified human software engineers architect the database schemas, enforce strict TypeScript safety, structure server security rules, configure wildcard SSL networks, and perform thorough end to end quality testing.
Price and Timeline Compensation: Because modern AI acceleration drastically reduces manual boilerplate drafting time, Premionix passes 100 percent of these productivity savings directly to the client as fair compensation. This methodology allows us to offer our exceptionally low flat rate of $15.00 USD per hour and ultra rapid delivery windows (typically 2 to 7 business days instead of 2 to 4 months) without compromising enterprise code quality or structural security.
7. 30 Day Post Launch Warranty and Cloud Maintenance
30 Day Launch Warranty: Every production deployment is protected by a 30 day post launch warranty. During this warranty window, Premionix rectifies software bugs, resolves visual alignment flaws, and tunes performance at zero additional cost.
Scope Changes: Functional expansions, major design restructuring, or new module additions requested after the initial agreed scope are calculated at the standard flat rate of $15.00 USD per hour.
Annual Cloud Maintenance: Ongoing server maintenance ($10.00 USD per year) includes automated daily database backups, SSL certificate renewals, 24/7 server health monitoring, security patches, and edge CDN delivery.
8. Service Level Objective and Limitation of Liability
99.9% Uptime Objective: Premionix maintains a 99.9 percent server availability target across all hosted applications, utilizing distributed edge caching and redundant database replicas.
Limitation of Liability: Services are provided on an as is and as available basis. In no event shall Premionix Software Studio, its founder, or affiliates be liable for indirect, incidental, special, consequential, or punitive damages, including loss of business profits, data corruption, or operational interruptions resulting from third party payment gateway outages, telecommunications carrier failures, or general internet disruptions.
9. Acceptable Use, Prohibited Conduct, and Termination
Prohibited Operations: Clients may not utilize hosted systems for fraudulent commerce, distribution of malicious software, unauthorized security penetration probing, or reverse engineering attempts.
5 Strike AI Conduct Rule: Repeated prompt injection attempts, harassment, or abusive exploitation of Studio AI engines results in an automated 72 hour system lockout after 5 verified strikes.
Immediate Termination: Premionix reserves the right to suspend or terminate service access immediately upon detecting severe security violations, illegal activities, or non compliance with these Terms.
10. Governing Law, Dispute Resolution, and Legal Contacts
These Terms of Service and all related client agreements are governed by and construed in accordance with the commercial and civil laws of the Kurdistan Regional Government and the Federal Republic of Iraq.
Any legal disputes or claims arising from or relating to our services shall first be addressed through good faith consultation. If unresolved within 30 business days, disputes are subject to the exclusive jurisdiction of the competent courts of Sulaymaniyah Governorate, Kurdistan Region, Iraq.
